Terms of Service
Please read carefully before creating an account. These Terms govern your access to Midcore.
These Terms of Service (“Terms”) govern your access to and use of the Midcore platform, website, desktop application, APIs, automation tools, AI-assisted workflows, and related services (collectively, the “Service”) provided by NeuroBazar Inc. (“NeuroBazar,” “we,” “us,” or “our”), a Delaware corporation. You must read and affirmatively accept these Terms and our Privacy Policy before creating an account or using any authenticated part of the Service.
1Acceptance of Terms
By creating an account, checking the acceptance box, starting social sign-up, accessing, or using the Service, you agree to be bound by these Terms and acknowledge our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization to these Terms.
If you do not agree to these Terms or do not understand them, do not create an account, do not complete OAuth registration, and do not access or use the Service.
2Account Terms
To use the Service, you must:
- Be at least 18 years old or the age of majority in your jurisdiction, whichever is higher
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
You may not use another person's account without permission. You may not create multiple accounts to circumvent usage limits, rate limits, security controls, billing, or legal restrictions. We may suspend or terminate accounts that violate these requirements.
3Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Generate malicious code, malware, exploits, or content designed to harm systems or individuals
- Attempt to reverse-engineer, decompile, or extract the source code of the Service (except as permitted by law)
- Interfere with or disrupt the integrity or performance of the Service
- Circumvent any rate limits, usage quotas, or access restrictions
- Resell, sublicense, or redistribute the Service without written authorization
- Use the Service to build a competing product by systematically extracting AI model outputs
- Submit sensitive regulated information unless your written agreement with NeuroBazar permits it
- Probe, scan, stress, or attempt to penetrate the Service except under an authorized security program
- Transmit any content that is unlawful, threatening, abusive, or infringes intellectual property rights
Violation of this section may result in immediate suspension, termination, rate limiting, removal of content, or referral to appropriate authorities where legally required.
4Intellectual Property
Your Code Belongs to You
You retain all rights, title, and interest in and to your code, projects, and content that you create, upload, or process through the Service. We claim no ownership over your intellectual property.
You grant NeuroBazar a limited, non-exclusive license to process your content solely to provide the Service (e.g., AI completions, code analysis, indexing). This license terminates when you delete your content or close your account.
The Service itself — including its design, code, algorithms, documentation, trademarks, and branding — is owned by NeuroBazar Inc. and protected by intellectual property laws. These Terms do not grant you any right to use NeuroBazar's trademarks or branding without prior written consent.
5AI-Generated Content
The Service uses artificial intelligence to generate code suggestions, completions, explanations, and other outputs (“AI Output”). Regarding AI Output:
- You are responsible for reviewing, testing, and validating all AI Output before use in production
- AI Output may not be unique — similar prompts from different users may produce similar output
- We make no warranties regarding the accuracy, completeness, security, or fitness for purpose of AI Output
- AI Output may inadvertently resemble existing copyrighted code; you should perform your own due diligence
- Subject to the above, you may use AI Output in your projects without additional licensing fees
- We do not claim copyright ownership over AI Output generated for you
6Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice)
- Unplanned outages or infrastructure issues
- Third-party service disruptions (LLM providers, cloud infrastructure)
- Force majeure events beyond our reasonable control
Enterprise customers may be eligible for Service Level Agreements (SLAs) with uptime commitments and credit provisions. Contact sales for details.
7Pricing & Billing
Current pricing is listed on our Pricing page. By subscribing to a paid plan, you agree to:
- Pay the applicable fees in accordance with your selected billing cycle (monthly or annual)
- Provide accurate billing information and keep it updated
- Authorize recurring charges to your payment method until you cancel
- Accept that annual subscriptions are billed upfront and are non-refundable except as required by law
We may change pricing with 30 days' notice. Price changes will not apply to the current billing period. If you do not agree to a price change, you may cancel before the next billing cycle.
Usage-based charges (e.g., additional AI compute, storage, or agent hours) will be billed at the end of each billing cycle based on actual usage.
8Termination
By you: You may cancel your account at any time through your account settings or by contacting us. Upon cancellation, your access to paid features will continue until the end of your current billing period.
By us: We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice before termination except in cases of egregious violations or legal requirements.
Effect of termination: Upon termination, your right to access the Service ceases. You may export your data for 30 days following termination. After 30 days, we will delete your data in accordance with our Privacy Policy.
9Limitation of Liability
To the maximum extent permitted by applicable law:
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL NEUROBAZAR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.
NEUROBAZAR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NEUROBAZAR IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
10Indemnification
You agree to indemnify, defend, and hold harmless NeuroBazar and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content or code processed through the Service.
11Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.
12Dispute Resolution
Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at legal@midcore.dev. We will attempt to resolve the dispute within 60 days.
If the dispute cannot be resolved informally, either party may initiate binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration will be conducted in English, in Wilmington, Delaware (or remotely, at the arbitrator's discretion).
Class action waiver: You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.
Exception: Either party may seek injunctive relief in any court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Service.
13Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and/or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you disagree with any changes, you must stop using the Service and cancel your account.
